Why is insider buying considered a bullish signal?
As investing legend Peter Lynch noted, insiders sell for many reasons (taxes, diversification), but they typically buy for only one: they expect the price to rise. Our tracker highlights these "Open Market Purchases" as they often outperform the market, especially when done by C-Suite executives (CEO, CFO).
What are "Cluster Buys" and why track them?
A Cluster Buy happens when 2+ unique insiders buy stock within a short period. This consensus significantly increases the signal's reliability compared to a single insider's purchase. Use our "Cluster Buys" filter to isolate these high-probability setups.
Difference between Form 4 and 13F?
SEC Form 4 is filed by individual insiders within 2 days of a trade, offering real-time insight. 13F filings are quarterly reports by institutional funds, released with a 45-day lag. For short-to-medium term trading, Form 4 data provides a much faster signal.
Should I track 10b5-1 planned trades?
Generally, no. 10b5-1 plans are automatic trades scheduled months in advance. They reflect past intentions, not current sentiment. We filter them out by default so you can focus on discretionary, "high conviction" trades.
How quickly is insider data reported after a trade?
According to SEC regulations, insiders must file a Form 4 within two business days of the transaction. Our system processes these filings in real-time, giving you a significant speed advantage over retail investors waiting for quarterly reports.
Does "Direct" vs. "Indirect" ownership matter?
Yes. "Direct" means the insider bought shares in their own name, which is the strongest signal. "Indirect" ownership (via trusts, spouses, or LLCs) is still valid but sometimes less personal. We highlight Direct Open Market purchases as the primary signal.
